Worker-Owned Cooperative

Technology built by the people who use it, owned by the people who build it.

Quantelligics is a tech worker cooperative — a business owned and democratically governed by its members. Every member has an equal voice in strategic decisions, and profits are shared equitably among the people who create them.

We believe the best technology comes from teams who have a real stake in the outcome. When workers own the company, incentives align naturally: quality, sustainability, and client success are not trade-offs — they are the business model.

Our cooperative structure means lower overhead, deeper commitment, and no misaligned incentives. Clients work directly with owners who are invested in every project's success.

Democratic Governance

One member, one vote — every worker has an equal say in major decisions

Equitable Profit Sharing

Profits are distributed based on contribution, not capital ownership

Member Ownership

Each member holds a meaningful equity stake through patronage dividends

Operating Agreement Summary

Our operating agreement defines the legal and operational framework of the cooperative. It ensures transparency, accountability, and fairness in how we run our business. Below is a summary of the key provisions.

Note: This is a summary for informational purposes. The full operating agreement is available to members and prospective applicants upon request.

Purpose & Mission

The cooperative exists to deliver intelligent technology solutions while providing meaningful ownership and livelihood for its members.

Membership

Membership is open to all workers who meet defined qualifications. Admission requires member approval and a capital contribution as outlined in the agreement.

Governance & Voting

Each member gets one vote. Major decisions — bylaw changes, large capital expenditures, member admission — require a two-thirds majority.

Profit Distribution

Net margins are allocated as patronage dividends proportional to each member's labor contribution. A reserve fund is maintained for business continuity.

Dispute Resolution

Member disputes follow a structured resolution process: mediation first, then binding arbitration. This keeps conflicts out of court and preserves working relationships.

Voluntary Withdrawal

Members may withdraw voluntarily with written notice. Capital accounts are redeemed according to the agreement's schedule to protect cooperative stability.
